New Global Enters into Definitive Agreement for El Tesoro Gold Mine

Mergers & Acquisitions Property Options & Staking

Monday July 26, 2010 - Vancouver, British Columbia (NNG.TSXV). New Global Ventures International Ltd. (the “Company”) is pleased to announce that it has entered into a definitive agreement to acquire a 100% interest in the El Tesoro Gold Mine, from Minerales Del Puerto S.A., a private Colombian company.

The El Tesoro licence is located in the Puerto Berrio Mining District in the Northeast Department of Antioquia, Colombia. The project comprises 622 hectares and is proximal to concessions owned by AngloGold Ashanti, Mineros S.A. and the Minas el Vapor Gold Mine which has been operating for over 80 years. The Minas el Vapor Gold Mine comprises a series of underground mines which are operated by a society of artesenal miners who are targeting gold-pyrite mineralization within 50 cm to 1 m wide quartz veins. The project has an elevation below 1,000 meters and is therefore unaffected by Law 1382 of 2010, restricting mining above 3,200 meters.

El Tesoro is located approximately 20 kms from the Gramolate Gold Deposit, which is a joint venture between B2Gold (TSX: BTO) and AngloGold Ashanti (NYSE: AU). In January 2009, B2Gold announced a National Instrument 43-101 compliant inferred mineral resource estimate for the Gramalote Ridge Zone of 74.375 million tonnes grading 1.00 g/t Au for a total of 2.39 million troy ounces of gold.

“After a recent site visit to the property with our geological team, we are very excited about the exploration upside of this project,” said Mr. Mark Lawson, New Global Ventures International Ltd. President and CEO. The company is currently completing a NI 43-101 report on the project in order to design a subsequent exploration and drilling program. This transaction is subject to TSX Venture Exchange approval.

Terms for the acquisition are:

  • Upon completion of due diligence, and the recovery of title by the owner, TSX acceptance of 43-101, payment of $600,000 and the issuance of 3,000,000 common shares of the Company, subject to the escrow provisions of the TSX Venture Exchange.
  • Upon issuance of relevant environmental permits, further 3,000,000 shares to Minerales Del Puerto S.A., and $200,000.
