Novadx Receives Additional Advance from ABACI Capital
(Vancouver, BC, August 18, 2014) Novadx Ventures Corp. (the "Company") (TSX-V: NDX) The Company announced today that ABACI Capital Limited ("ABACI") has advanced US $658,000 (the "Advance") pursuant to an unsecured promissory note which matures and becomes payable October 2, 2014, and bears interest at a rate of 10% per annum. The Advance is in addition to the previously disclosed advances from ABACI totalling US $2,650,000 for an aggregate working capital advance to the Company of US $3,308,000 (the “Loan”).
The Company intends to use the Advance to fund working capital requirements until the completion of the Company's previously disclosed restructuring transaction ("Restructuring") with Sandstorm Metals & Energy (US) Inc.("Sandstorm"). As disclosed in the Company's July 23, 2014 news release, in connection with the Restructuring, subject to the approval of the TSX Venture Exchange (the "Exchange"), Sandstorm has agreed to restructure and cancel Sandstorm's previously disclosed coal streaming agreements with the Company; to settle all outstanding amounts owed to Sandstorm by the Company; and to the transfer all of Sandstorm's interest in 0955615 US Inc., to the Company in consideration of the Company transferring the Company's wholly-owned subsidiary MCoal Corporation to Sandstorm.
In connection with the completion of the Restructuring, subject to Exchange approval, the Company and ABACI intend to convert the Loan into a secured loan (the "Secured Loan"), secured against the assets of the Company and its subsidiaries. The Secured Loan bears interest at a rate of 10% per annum. US $658,000 of the loan matures on October 2, 2014, US $1,950,000 of the Loan matures on December 11, 2014 and US $700,000 of the Loan matures on January 17, 2015. In addition, subject to Exchange approval and transfer of 0955615 US Inc. to Novadx under the Restructuring, the Company and ABACI intend to convert an additional unsecured $1,000,000 advance previously made by ABACI to 0955615 US Inc. into a secured loan, secured against the assets of 0955615 US Inc., bearing interest at a rate of 10% per annum and maturing October 2, 2014.
Completion of the Restructuring transaction and conversion of the unsecured amounts owing to Abaci to secured debt are subject to a number of conditions, including Exchange acceptance and the Company making all necessary submissions under the applicable policies of the Exchange for all components of the Restructuring and related transactions. The transaction cannot close until the required Exchange approval is obtained. There can be no assurance that the transaction will be completed as proposed or at all.
The Company also announced the appointment of Brendan Lynch to the Company's board of directors. Mr. Lynch, a Chartered Accountant, is the former Chief Financial Officer of the Zamin Group, a company involved investing in and developing mining and exploration projects in South America. Previously Mr. Lynch worked as a Corporate Finance Associate at HSBC Investment Bank in London, and Mr. Lynch worked as an accountant and auditor with KPMG in Ireland.
