FOR IMMEDIATE RELEASE TSX-V: OAR
UPDATE ON KILOMETER 26 GOLD-NICKEL PROJECT AND INCREASE IN CLAIM GROUP TO 12,000 ACRES
Vancouver, British Columbia – June 3, 2010 – OroAndes Resource Corp. (the “Company”) is pleased to update: The Kilometer 26 Gold-Nickel Project is located in central British Columbia approximately 55 kilometers northwest of the community of Fort St. James. The property was staked in 2008 to cover the area where, in 1983, Cominco discovered a quartz-magnesitemariposite boulder which repeatedly graded 8.1 grams per tonne gold and was interpreted to contain mineralization comparable to an important style occurring in the Motherlode district of California. The property is easily accessible by a major industrial road and recent logging has resulted in the addition of logging roads.
Following the staking of the Kilometer 26 claims the area become additionally topical because of exploration being undertaken in similar rocks 30 kilometers to the west at the Decar Project by First Point Minerals Corp (TSE-V:FPX) and Cliffs Natural Resources Inc. (NYSE:CLF), a major iron ore company based in Cleveland, Ohio. At Decar, ultramafic rocks similar to those which occur at Kilometer 26 host an unusual iron nickel alloy that is being explored as a potential new source of nickel (non sulphide). Preliminary prospecting at Kilometer 26 has encountered mineralized ultramafic boulders containing up to 0.21% nickel.
The Kilometer 26 claim group was recently expanded and now encompasses 4,862 hectares (12,000 acres). It is centered on a strong magnetic anomaly indicated on the “Quest West” helicopter-borne magnetic and electromagnetic survey flown for the BC Government (Geoscience BC) and published January 2009.
Twenty-six line kilometers of grid was cut in 2009 preparatory to ground surveys planned for 2010. The Company expects to implement its 2010 Kilometer 26 exploration program in the coming weeks.
A 60% interest in the Kilometer 26 project is under option to Oroandes Resource Corporation from Eastfield Resources Ltd. (TSE-V:ETF). Oroandes may earn its interest by spending $1,575,000 on exploration, issuing 275,000 shares and making $107,500 in payments by September 25, 2013.
The Company also announces that further to its news release dated April 12, 2010, it has completed a nonbrokered private placement of 2,945,000 Units at a price per Unit of $0.085 for gross proceeds of $250,325.00. Each Unit consists of one common share in the capital of the Company and one nontransferable share purchase warrant, each warrant entitling the holder to acquire one additional common share in the capital of the Company at a per share price of $0.11 until June 3, 2015.
A director and officer of the Company participated in the private placement, having purchased 235,000 Units, constituting a related party transaction pursuant to TSX Venture Exchange Policy 5.9 and Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The Company relied on Section 5.5(a) of MI 61-101 for an exemption from the formal valuation requirement and Section 5.7(1)(a) of MI 61-101 for an exemption from the minority shareholder approval requirement of MI 61-101 as the fair market value of the transactions did not exceed 25% of the Company’s market capitalization.
Shares acquired by the placees are, and shares which may be acquired upon the exercise of the share purchase warrants will be, subject to a hold period until October 4, 2010, in accordance with applicable securities legislation. The proceeds of the private placement will be used by the Company for general corporate purposes.
J.W. (Bill) Morton P.Geo, a Qualified Person for the purposes of National instrument 43-101, has read and taken responsibility for the portion of this news release dealing with the Kilometer 26 project.
