EARTHWORKS PROPOSES AMENDMENTS OF OUTSTANDING OPTION AGREEMENTS

Earthworks Industries Inc. (the “Company”) proposes to amend Option Agreements granted on various earlier dates for a total of 1,250,000 shares. The Options are exercisable at prices between $0.20 and $0.35 per share on dates between July 31, 2025, and January 23, 2026. The Company considers that as the Options are so “out of the money” it is appropriate that the exercise prices be reduced to $0.15 per share and their exercise deadline dates be extended to July 31, 2027. The amendments are subject to acceptance by the TSX Venture Exchange. As 625,000 of the Options are in favor of Insiders of the Company, the amendment of those options will not be effective unless and until they receive independent shareholder approval. The approval of the amendments of 625,000 options will be submitted for the next AGM of the Company.
