Windfire Announces Closing on Extension of Option Agreement and TSXV Approval

WINDFIRE ANNOUNCES CLOSING ON EXTENSION OF OPTION AGREEMENT AND TSXV APPROVAL

Windfire Capital Corp. (WIF: TSX-V) (the "Company") announces that it has closed and has received TSX Venture Exchange conditional approval on its' previously announced transaction, details of which were disclosed in a press release dated June 5, 2013, whereby the Company entered into an Amending Property Option Agreement (the "Agreement") to an original Option Agreement dated February 8, 2011, for additional compensation to Sydney Wilson (the "Property Owner") for the issuance of an additional 500,000 common shares.

Under the terms of the Agreement, 500,000 common shares shall be issued to the Property Owner, and:

1. The Company shall issue to the Property Owner 250,000 common shares and complete a $250,000 work commitment within 30 days of the third anniversary of the approved date;

2. The Company shall issue to the Property Owner 350,000 common shares and complete a $400,000 work commitment within 30 days of the fourth anniversary of the approved date; and

3. If the Company executes a commitment letter on or before November 6, 2013 to complete $150,000 of expenditures on the property, then the Option shall remain in good standing until May 6, 2014. However, if the expenditures on the property have not commenced on or before March 1, 2014, then the Property Owner shall have the right to terminate the Agreement.
