WALKER CLOSES PRIVATE PLACEMENT
Vancouver, B.C. April 1, 2019 - Walker River Resources Corp. (“Walker” or the “Company”) (TSX- V: “WRR”) is pleased to announce it has completed a private placement by issuing 4,545,455 common shares at a price of $0.11 per share for gross proceeds of $500,000.
Each Unit consisted of one common share (a “Share”) and one Share purchase warrant (the “Warrant”), whereby each Warrant shall be exercisable into one Share for a period of two (2) years from closing at a price of $0.15 per Share. Proceeds of the Private Placement will be used for work on the Company's mineral properties and general working capital.
All securities to be issued in connection with the Private Placement shall be subject to a four-month hold period in accordance with applicable securities legislation. Closing of the Private Placement shall be subject to final acceptance by the TSX Venture Exchange.
The securities offered have not been, and will not be, registered under the U.S. Securities Act of 1933, as amended (the "U.S. Securities Act"), or any U.S. state securities laws, and may not be offered or sold in the United States or to, or for the account or benefit of, a U.S. Person (as defined in Regulation S under the U.S. Securities Act) absent registration or an applicable exemption from the registration requirements of the U.S. Securities Act and applicable U.S. state securities laws.
