The Company is progressing with bringing the filing of its audited financial statements for the year ended February 28, 2015, management’s discussion and analysis and related CEO and CFO certifications (collectively, the “Required Filings”) up-to-date. On June 29, 2015 Shoshoni Gold Ltd. (the “Company”) advised by way of News Release that the filing of its audited financial statements for the year ended February 28, 2015, management’s discussion and analysis and related CEO and CFO certifications (collectively, the “Required Filings”) would be delayed beyond the filing deadline of June 29, 2015. In view of the delay in the filing of the Required Filings, the Company filed an application with the British Columbia Securities Commission pursuant to the provisions of Part 4 of National Policy 12-203 for a management cease trade order (“MCTO”). The British Columbia Securities Commission subsequently granted the MCTO, prohibiting certain insiders from trading in the securities of the Company until the Company files the Required Filings and the MCTO has been revoked. A MCTO does not generally affect the ability of persons who are not directors, officers or insiders of the Company to trade the securities of the Company pending the filing of the Required Filings on SEDAR. The Company will satisfy the provisions of the alternative information guidelines under National Policy 12-203 by issuing biweekly default status reports in the form of news releases so long as it remains in default of the filing requirements set out herein.
Required Filings for the first quarter of the current fiscal year will also be delayed beyond their respective due date by the late filing of the Annual Filing.
The Company continues to work to bring the Required Filings up-to-date as soon as possible and now anticipates filing of the Required Filings for the year-ended February 28, 2015 and for the first quarter of the current fiscal year within the coming weeks.
