CT Developers Announces Conditional Approval of Qualifying Transaction and Brokered Private Placement

May 13, 2014 – Vancouver, British Columbia (TSX-V: DEV.P). CT Developers Ltd., (“CT” or the “Company”), a capital pool company, is pleased to announce that its qualifying transaction (the “QT”) has been conditionally approved by the TSXV. The Company has now posted its filing statement (the “Disclosure Document”) to www.SEDAR.com and is expecting to close the QT on or around May 30, 2014. Subject to closing and the satisfaction of TSXV requirements, it is expected that final regulatory approval will be obtained shortly thereafter.

In connection with the closing of the QT, the Company intends to: (i) complete the Financing (as defined herein), (ii) change its name to “Bee Vectoring Technologies International Inc.,” and (iii) complete a share split on the basis of three post-split common shares for every common share of the Company issued and outstanding (the “Share Split”).

Pursuant to a securities exchange agreement among the Company, Bee Vectoring Technology Inc. (“BVT”), and the shareholders of BVT dated October 9, 2013, the Company shall issue 31,999,999 common shares (the “Common Shares”), which shall increase to 95,999,997 following the Share Split, in exchange for all of the issued and outstanding common shares of BVT. Upon closing of the QT, the current board of directors of the Company shall resign and the following directors shall be appointed: Michael Collinson, Binh Vu, Jim Molyneux, and Robert Metcalfe. Michael Collinson shall serve as the Chief Executive Officer and President, and Kyle Appleby shall be appointed as Chief Financial Officer. Following closing of the QT, BVT will become a wholly-owned subsidiary of the Company and the Company shall operate the current business of BVT (the “Resulting Issuer”).

BVT is a development stage company which owns patent pending technology specifically designed to utilize bees as natural delivery mechanisms for a variety of powdered mixtures comprised of organic compounds which inhibit or eliminate common crop diseases, while at the same time fertilizing the same crops without the use of water. The bees are dusted with the mixtures as they exit their hive en route to the fields containing the crops of interest.

The Company has signed an engagement letter, dated April 24, 2014, with M Partners Inc. (“M Partners”) whereby M Partners shall act as lead agent (the “Agent”) on behalf of the Company in connection with a proposed financing (the “Financing”) of a minimum of $5.0 million of units of the Company, plus an over-allotment option of up to $500,000. Each unit (“Unit”) will be priced at $0.25 and will consist of one Common Share of the Company and one common share purchase warrant of the Company (a “Warrant”). Each Warrant will entitle the holder thereof to purchase one Common Share at a purchase price of $0.75 per share for a period of five years from the closing date of the Financing.

In connection with the Financing, the Company will pay to M Partners a cash commission of 8% of the aggregate proceeds raised, plus compensation options to acquire up to 8% of the Units issued pursuant to the Financing, at a price of $0.25 per Unit, for two years from the closing of the Financing. M Partners may assign compensation options in whole or in part, from time to time, at its sole discretion, to any member of the selling group in connection with the Financing.

The securities issued pursuant to the Financing will be subject to a hold period of 4 months from closing.

Whether or not the Financing is completed, all costs and out-of-pocket expenses of M Partners are to be borne by the Company, including the fees and disbursements of M Partners’ legal counsel.

The Financing will permit the Resulting Issuer to achieve its near term development goals and also provide adequate working capital for 12-months of operations.

Additional details of the financing and QT are contained in the Disclosure Document.

Trading of the common shares of CT will remain suspended until the issuance of the Final Exchange Bulletin.
