PRIVATE PLACEMENT AND LOAN

December 17, 2012 - Vancouver, British Columbia: Auro Resources Corp. (TSX-V: ARU) announces that it will be conducting a non brokered private placement with total proceeds of up to $700,000. The private placement will involve the sale of pre-consolidation units at the price of $0.015, per per-consolidation units, with each unit consisting of one common share and one share purchase warrant. Each warrant entitles the holder to purchase a further common share at the pre-consolidation price of $0.02 for a period of five years.

The private placement is subject to Exchange approval and also subject to the completion of the proposed share consolidation which is subject to both shareholder approval and Exchange approval.

The Company may be paying a finder’s fee on some or all of the private placement in the amount up to 5% in cash and 5% in common shares.

The Company may be paying a 10% bonus payable in cash to those persons who advance funds up to $150,000 in aggregate to the Company for expenditure by the Company prior to the private placement closing. No such bonus will be paid to any person who participates (that is, is issued shares and warrants) under the private placement.

All securities issued under the private placement, including shares under the finder’s fee, if any, will be subject to a four month hold period.

The proceeds of the private placement will be used for general working capital, property investigation and general exploration expense.
