Rt Minerals Corp . Enters into Definitive Agreement for Acquisition of 1502493 B.C. Ltd.

Vancouver, B.C. – November 18, 2024 – RT Minerals Corp. (TSXV: RTM) (OTC Pink: RTMFF) (the “Company” or “RTM”) is pleased to announce that it has entered into a definitive agreement dated October 21, 2024, with 1502493 B.C. Ltd. (“1502493”) and its shareholders (the “Vendors”) to acquire 100% of the issued and outstanding shares of 1502493. Through this transaction, RTM will acquire full interest in the Rogue Property, located on the Baie Verte Peninsula in Western Newfoundland, a highly prospective area for mineral exploration.

Under the terms of the agreement, RTM will issue an aggregate of 3,500,000 common shares at a deemed price of $0.10 per share to the shareholders of 1502493 in exchange for all outstanding shares of 1502493. The transaction remains subject to regulatory approvals, including the approval of the TSX Venture Exchange (TSXV), and other customary closing conditions.

The acquisition aligns with RTM’s growth strategy to expand its asset base within Canada's resource sector and adds a significant exploration asset to its portfolio. The Company intends to advance exploration activities at the Rogue Property upon closing.

Next Steps

Following the execution of the definitive agreement, RTM will file the required documentation with the TSXV for regulatory review. Pending TSXV approval, RTM will proceed to close the transaction and will announce the closing in a subsequent news release.
