CHANGE OF DIRECTORS AND OFFICERS

Vancouver, BC, November 13, 2024 - Demesne Resources Ltd. (CSE:DEME)

(OTCQB:DEMRF) (“Demesne” or the “Company”) announces that Brandon Kou has resigned

as a director of the Company to pursue other opportunities. The Company would like to thank Mr.

Kou for his contributions to the Company.

The Company is pleased to announce that Ajar Toor, the Chief Financial Officer of the Company,

has been appointed as a director of the Company to fill the vacancy. Ajar Toor has also been

appointed as Corporate Secretary of the Company, replacing Adam Virani, who will remain a

director of the Company.

exploration of magnetite mineral properties. The Company's sole property is the Star Project,

consisting of five contiguous mineral titles covering an area of approximately 4,615.75 hectares

an option agreement pursuant to which it is entitled to earn an undivided 100% interest in the Star
