Angel Bioventures Inc. – Correction of pricing and terms of Private Placement
December 16, 2013
Further to the Corporation’s Press Release of December 13, 2013, the Corporation reports that the terms of the placement have amended such that the warrants contained with the units shall be exercisable at $0.07 for a period of 12 months. In addition, the Corporation confirms that it has completed the previously announced private placement and at this time does not intend to seek additional subscribers. The placement was comprised of 10 million units issued at five cents per unit. Each unit is comprised of one common share and one transferable warrant exercisable at seven cents, not ten cents as previously stated, for a period of twelve months from the date of closing. The Corporation still intends to pay finder’s fees of $50,000 cash and issue 1,000,000 warrants exercisable at $0.07 in accordance with the policies of NEX for assistance in introducing the subscribers of the placement to the Corporation. The Corporation will still use the proceeds of the placement to retire outstanding debts, pay finder’s fees, and replenish working capital to source and evaluate a suitable business to reactivate the Corporation.
