Prior to the Transaction, the Acquiror held 6,074,498 Shares and 6,074,498 common share purchase warrants (the “Warrants”) of the Company. As a result of the Transaction, the Acquiror holds 4,574,498 Shares and 6,074,498 Warrants. The Acquiror holds a total of 4,574,498 Shares representing 11.39% of the Company’s issued and outstanding Shares on a non-diluted basis and on a partially diluted basis (i.e., assuming full exercise of all Warrants and no other issuances of Shares by the Company) the Acquiror holds a total of 10,648,996 Shares representing 23.03%.
