Bell Copper Closes Balance of $4.5 Million Financing

Vancouver, B.C.: Bell Copper Corporation (“Bell Copper” or the “Company”) (TSX-V Symbol: BCU) is pleased to announce that it has closed the remaining $1.59 million of its brokered private placement with D&D Securities Inc. and Delano Capital Corp. (the “Agents”). As a result, the Company has now issued a total of 22.5 million units at a price of $0.20 per unit for gross proceeds of $4.5 million. Each unit consists of one common share and one common share purchase warrant, with each warrant entitling the holder to purchase an additional common share of the Company for an 18 month period at a price of $0.35 per share. With the issuance of these units, and with the shares for debt swap with Macquarie Bank Limited (“Macquarie”) announced on May 11, 2011, the Company now has 173,312,483 shares outstanding, with Macquarie being the Company’s largest shareholder with an undiluted 11% holding.

In addition to a 7% cash commission, the Agents have received broker’s warrants to purchase 1,989,500 common shares of the Company for an 18 month period at a price of $0.20 per share. The foregoing is subject to final regulatory approval.
