PRIVATE PLACEMENT

Auramex Resource Corp. (the “Company”) announces a private placement of up to 27,000,000 common shares at $0.0075 per share for proceeds of approximately $200,000. The Company will pay cash finders’ fees of 10% to qualified finders who locate subscribers for the placement. The proceeds from the placement will be used primarily to satisfy outstanding and imminent obligations, in order to preserve the Company’s business and assets.

The private placement is subject to the approval of the TSX Venture Exchange.

PROPOSED SHARE CONSOLIDATION

The Company has convened an Annual and Special General Meeting to be held October 18, 2012. At the meeting, the shareholders will be asked to approve a consolidation of the Company’s share capital on the basis of one new share for each 15 old shares. The issued capital of the Company is currently 81,591,459 common shares, which will become 5,439,431 common shares, less fractions where applicable, after the consolidation. The purpose of the consolidation is to make the Company’s securities more attractive to potential investors, and others who may have an interest in receiving shares in exchange for assets, by increasing the market price for the Company’s post-consolidation shares above the minimum issue price thresholds established by the TSX Venture Exchange.

The proposed consolidation is subject to the approval of the Company’s shareholders and the TSX Venture Exchange. No name change is proposed in connection with the share consolidation.
